1. Overview & Platform Role
- Intermediary Status: ContractorsLane.com acts solely as a digital venue/marketplace facilitating connections between clients, contractors, material suppliers, consultants, and manpower suppliers (collectively, “Ecosystem Stakeholders”).
- No Direct Party: We are not a party to any contract, agreement, work order, purchase order, or service agreement entered into between Users on the Platform.
- No Guarantee: We do not guarantee project completion, payment clearance, quality of work, or performance by any User on the Platform.
2. Eligibility & Account Registration
- Eligibility: You must be at least 18 years old (or the legal age of majority in your jurisdiction) and capable of forming legally binding contracts.
- Account Types: Users must register under the appropriate category (Client, Contractor, Material Supplier, Consultant, or Manpower Supplier).
- Accurate Information: You agree to provide true, accurate, current, and complete information during registration and keep your profile updated.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3. User Categorization & Obligations
A. Contractors, Consultants & Manpower Suppliers
- You warrant that you hold all necessary licenses, permits, GST registrations, and technical certifications required by law to provide your advertised services.
- You are solely responsible for compliance with local labour laws, safety regulations, minimum wage standards, and statutory contributions (e.g., PF/ESI, where applicable).
B. Material Suppliers
- You warrant that all products and materials offered or delivered meet the specifications, quality standards, and warranties stated in your listings or quotes.
C. Clients
- You agree to provide accurate project scope details, clear timelines, and genuine requirements when issuing inquiries or tenders on the Platform.
4. Verification & Due Diligence Disclaimer
- User Responsibility: While ContractorsLane.com may offer basic document verification badges or checks, Users are solely responsible for independently verifying the credentials, licenses, solvency, past performance, and financial standing of any party prior to entering into a business agreement.
- No Endorsement: The inclusion of any contractor, supplier, or consultant on the Platform does not constitute an endorsement, guarantee, or rating by ContractorsLane.com.
5. Transactions, Payments & Platform Fees
- Direct Negotiations: Terms of payment, deliverables, and commercial contracts are negotiated directly between the respective Users.
- Platform Fees: ContractorsLane.com reserves the right to charge subscription fees, listing fees, or transaction commission fees. Any applicable fees will be explicitly communicated prior to billing.
- Taxes: Users are responsible for calculating and remitting all applicable local taxes (e.g., GST, TDS) arising from transactions facilitated through the Platform.
6. Prohibited Activities
Users agree not to:
- Post false, misleading, defamatory, or fraudulent project listings, quotes, or reviews.
- Solicit users off the platform to bypass applicable platform subscription or transaction fees (if enforced).
- Violate any applicable local, state, national, or international construction, environmental, or trade laws.
- Upload malicious code, scrape data automatically, or interfere with the platform’s security and infrastructure.
7. Content & Intellectual Property
- Platform Ownership: All trademarks, branding, code, design, and content owned by ContractorsLane.com remain our sole property.
- User-Generated Content: By uploading logos, project images, certificates, or text to the Platform, you grant ContractorsLane.com a non-exclusive, worldwide, royalty-free license to display and distribute such content for operational and marketing purposes.
8. Limitation of Liability & Indemnification
- Limitation of Liability: To the maximum extent permitted by law, ContractorsLane.com, its directors, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from: disputes or breach of contract between Users; quality, safety, or legality of services/materials supplied; or financial losses, project delays, or personal injury resulting from site work.
- Indemnification: You agree to indemnify and hold harmless ContractorsLane.com from any claims, damages, liabilities, or legal expenses arising out of your breach of these Terms, your misuse of the Platform, or your transactions with other Users.
9. Account Termination & Suspension
- Termination by You: You may close your account at any time via profile settings or written request.
- Termination by Us: We reserve the right to suspend or terminate your account immediately, without notice, if you breach these Terms, engage in fraudulent activity, or fail to maintain valid industry credentials.
10. Governing Law & Dispute Resolution
- Applicable Law: These Terms shall be governed by and construed in accordance with the laws of India (Uttar Pradesh).
- Jurisdiction: Any legal action or proceeding arising out of these Terms shall be subject to the exclusive jurisdiction of the courts located in Lucknow, Uttar Pradesh.
